1. Agreement to Terms
By accessing or using the services, applications, and website provided by 10Tacle Pte Ltd (UEN: 202141220N), a company incorporated in Singapore ("10Tacle", "we", "us", or "our"), including any associated mobile applications (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our Services.
2. Description of Services
10Tacle provides IoT-based smart infrastructure and access control solutions, including but not limited to:
- Haylo Community — Mobile access and visitor management for residential and commercial properties
- Haylo+ — Enterprise-grade security command platform with multi-site monitoring
- Dynamic VMS — AI-powered visitor management with license plate recognition
- ToPark — Smart parking management and cashless payment system
3. User Accounts
To access certain features of the Services, you may be required to register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorised access to any part of the Services or its related systems
- Reverse-engineer, decompile, or disassemble any aspect of the Services
- Use the Services for any fraudulent, abusive, or otherwise harmful purpose
- Transmit any malware, viruses, or other malicious code
5. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, and the overall design — are the exclusive property of 10Tacle Pte Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without prior written consent from 10Tacle.
6. Mobile Applications
The following additional terms apply to our mobile applications downloaded from the Apple App Store or Google Play Store:
- The app is licensed, not sold, to you for use strictly in accordance with these Terms
- Apple Inc. and Google LLC are not parties to these Terms and have no obligation to furnish any maintenance or support services for the app
- In the event of the app's failure to conform to any applicable warranty, you may notify the respective store provider for a refund of the purchase price (if any); to the maximum extent permitted by applicable law, the store provider has no other warranty obligation
- 10Tacle, not the store provider, is responsible for addressing any claims relating to the app, including product liability claims, consumer protection claims, and intellectual property infringement claims
- Apple's Usage Rules apply when using the app on an iOS device
- Both Apple and Google and their subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, each store provider will have the right to enforce these Terms against you as a third-party beneficiary
7. Data Collection & Privacy
Our Services may collect and process personal data as necessary for the operation of access control, visitor management, and parking systems. This may include:
- Personal identification information (name, contact details, identification documents)
- Vehicle information (license plate numbers, vehicle type)
- Access logs and usage data
- Device information and location data
- Images and video captured by security systems
We process personal data in compliance with the Personal Data Protection Act 2012 (PDPA) of Singapore and other applicable data protection regulations. By using our Services, you consent to such data collection and processing as described herein and in our Privacy Policy.
8. Payment Terms
Certain Services may require payment of fees. All fees are quoted in Singapore Dollars (SGD) unless otherwise stated. You agree to pay all applicable fees and charges associated with your use of the Services. 10Tacle reserves the right to modify fees upon reasonable notice. Failure to pay may result in suspension or termination of access to the Services.
9. Service Availability & Warranties
The Services are provided on an "as is" and "as available" basis. While we strive to maintain high uptime and reliability, 10Tacle does not warrant that the Services will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. To the fullest extent permitted by law, 10Tacle disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by Singapore law, 10Tacle and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with the use or inability to use the Services, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the amounts paid by you to 10Tacle in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless 10Tacle Pte Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
14. Changes to Terms
10Tacle reserves the right to modify or replace these Terms at any time. Material changes will be communicated through our website or applications. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
